1  We will have access to all of their 500 merchants.  We have identified
50 that we wish to include in the Exchange.  Some of those deals are
already done.

2  I do not know what BeFree's anticipated growth rate for merchants is.
BeFree and LinkShare are the leaders in affiliate network offerings having
the most merchants and the most affiliate members.  BeFree has 200,000
affiliate members.

3  Right now there is no relationship between the number of merchants
BeFree has or the number of products they offer and the minimum
performance requirements to be in the Performance Partner program.

	Earlier this week, Jim and I had a chance to finally meet with a
live person, Craig Palli, from BeFree, at their headquarters in
Marlborough, MA.

	After explaining nano's concept, nanoEDGE/EXCHANGE, our business
model, and the magnitude of the benefits to BeFree,  we communicated our
need for dedicated technical support.  Craig explained a new program
called "Performance Partners" which BeFree members must be subjectively
approved to enter.  We have been approved.

	The Performance Partner program includes these benefits: 
1.  Dedicated support technologist. 
2.  "Link Cartridge" capabilities.  This is a customized prefix that can
be appended to ANY url of ANY BeFree merchant or affiliate to track
clickthroughs and sales. 

	3.  The ability to either FTP reports or in the future, some other
active connection.  Right now these reports are updated weekly.  By
January, the reports will be able to be updated daily.

	A Performance Partner eligibility and pricing: 
1.  Ability to drive $60,000 in sales per month in aggregate to
participating merchants. 
2.  Posting of a detailed privacy policy on the partner site that informs
end users of data collected, how it is used, and how to opt out.

	3.  Partner is given a 3 month window to attain the minimum 
4.  Partner may be given option of paying a maintenance fee of $1200 per
month, payable in 3 month advance increments, to remain in the program if
Partner fails to meet the minimum

	We have arranged to be able to speak with a technologist in
advance to ensure that our links will work.  The start of the three month
window will not begin until we are ready.  We have communicated that this
will probably be sometime around January.  There are currently 31 BeFree
Performance Partners.  They project 32 Performance Partners by the end of
the year.
